Terms of Service

These Terms of Service govern the relationship between Alextricity Technologies, LLC (“Alextricity,” “we,” “us,” or “our”) and any individual or organization (“Client,” “you,” or “your”) that engages our services. By engaging Alextricity Technologies for any service, you agree to these terms.
Services
Alextricity Technologies provides managed IT services, cybersecurity, cloud solutions, network infrastructure, hardware repair, data backup and disaster recovery, VoIP and communications, and IT consulting services. The specific services provided to each client are defined in the applicable service agreement or statement of work.
Service Availability
We provide support 24 hours a day, 7 days a week, 365 days a year. Response times and service level commitments are defined in the applicable service agreement. We make every reasonable effort to maintain the availability and reliability of client systems under our management, but we do not guarantee uninterrupted operation of any system or network.
Payment Terms
Payment terms are specified in the applicable service agreement. For managed services, billing is typically monthly in advance. For project-based work, payment schedules are defined in the statement of work. All invoices are due upon receipt unless otherwise specified. Late payments may be subject to a service charge as defined in the service agreement.
Client Responsibilities
Clients are responsible for providing reasonable access to systems and facilities as needed for service delivery, maintaining accurate contact information, notifying Alextricity promptly of any issues or security incidents, and complying with applicable laws and regulations regarding their use of technology.
Confidentiality
Alextricity Technologies treats all client information as confidential. We do not disclose client data, system configurations, passwords, or business information to third parties except as required to deliver our services or as required by law. We maintain reasonable administrative, technical, and physical safeguards to protect client information.
Limitation of Liability
Alextricity Technologies shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to our services. Our total liability for any claim arising from our services shall not exceed the total fees paid by the client to Alextricity during the twelve months preceding the claim. This limitation applies regardless of the theory of liability.
Termination
Either party may terminate a service agreement with written notice as specified in the applicable agreement. Upon termination, Alextricity will assist with a reasonable transition of services and return of client data. Fees for services rendered through the termination date remain due and payable.
Governing Law
These Terms of Service are governed by the laws of the State of Missouri. Any disputes arising from these terms or our services shall be resolved in the courts of Texas County, Missouri.
